The scope, deliverables, timelines, and fees for specific services shall be defined in a separate Service Agreement or Statement of Work (SOW) executed by both parties.

3. Use of the Website

3.1 Permitted Use

4.4 Client Deliverables

Unless otherwise specified in a separate Service Agreement, intellectual property rights in deliverables created specifically for a Client shall be transferred to the Client upon full payment of all applicable fees.

5. Client Responsibilities

When engaging our services, the Client agrees to provide accurate and timely information, designate an authorized point of contact, ensure proper licensing of data and systems provided, cooperate in good faith, pay all fees in accordance with the agreed schedule, and comply with all applicable laws.

6. Fees and Payment

Fees for services shall be as set forth in the applicable Service Agreement or SOW. Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date. Late payments may incur interest at a rate of 1.5% per month. The Client is responsible for all applicable taxes. We reserve the right to suspend services for accounts that are past due.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the business relationship. Confidential information includes business plans, technical data, trade secrets, client lists, financial information, and project specifications. These obligations shall survive termination of the engagement for a period of five (5) years, or indefinitely for trade secrets.

8. Limitation of Liability

To the maximum extent permitted by applicable law, our liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Warranty Disclaimer

Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kunming Qingqi International Commerce and Trade Co., Ltd., its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Site or services in violation of these Terms, your violation of any applicable law, or any content you provide that infringes the rights of any third party.

11. Termination

Either party may terminate a service engagement with written notice as specified in the applicable Service Agreement. Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within fifteen (15) days of written notice. Upon termination, the Client shall pay all fees and expenses incurred up to the effective date of termination.

12. Force Majeure

Neither party shall be liable for any delay or failure in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, strikes, or internet service disruptions.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the People's Republic of China. Any dispute shall first be resolved through good-faith negotiations. If unresolved within thirty (30) days, it shall be submitted to binding arbitration in accordance with CIETAC rules. The arbitration shall be conducted in Kunming, Yunnan, in English.
